Terms of Service

The Membership Agreement governing your use of the Outbound Founders' Pass and the products bundled into it.

This document is a placeholder while the Outbound Pass goes through legal review. The substance of the agreement is captured here, but specific clauses (jurisdiction, arbitration, indemnification, IP) will be finalized by counsel before launch. Treat this as the spirit of the agreement, not the final binding text.

1. Who this is between

These Terms ("Terms") are an agreement between you ("Member", "you") and Outbound Pass ("Outbound", "we", "us"), the operator of the Outbound Founders' Pass membership program. By enrolling, paying, and using the products bundled into the Pass, you accept these Terms.

2. What you're paying for

The Outbound Founders' Pass is a product membership. For the annual fee, you receive access to the Day-1 Stack of products (currently ColdRelay, Handshake, ZenVerifier, Outbound Community Pro, and the annual Outbound Summit ticket) plus all Milestone-Tier products that ship while your membership remains continuously active.

A complete list of currently shipped products and their Founder allocations is published on the Outbound Pass landing page and in your member dashboard.

2.1 Allocations & fair use

Each product in the Pass has a published Founder allocation (e.g., 150 mailboxes for ColdRelay, 5 LinkedIn accounts for Handshake, 10,000 verifications/month for ZenVerifier). These allocations are subject to the published fair-use, acceptable-use, and abuse-prevention policies of each underlying product. Repeated abuse or evasion of allocation limits may result in throttling, suspension, or termination.

2.2 What this is NOT

The Pass is not any of the following:

  • A security, equity, profit-share, ownership stake, or investment instrument.
  • A guarantee of business outcomes, revenue, or return on investment.
  • A right to unlimited usage of any single product.
  • A grant of voting rights or governance authority over Outbound or any affiliated entity.
  • White-label, reseller, or sublicense rights (those require a separate agreement).

3. Pricing & the lifetime price lock

The Founder rate is USD $2,000 per year, billed annually and paid upfront, until the cohort cap of 1,000 Founders is reached. After the cap, new members pay the then-current retail price (currently set at USD $4,000/year, indicative).

3.1 What "locked for life" means

Your $2,000/year price is locked for as long as your membership remains continuously active and in good standing. "Good standing" means: paid on time, not in violation of acceptable-use terms, not subject to a dispute or chargeback, and not under suspension.

If your membership lapses, is cancelled, or is terminated, the locked rate is forfeited. Rejoining at a later date is at then-current retail pricing — not the $2,000 Founder rate.

3.2 Auto-renewal

Memberships auto-renew annually at the locked Founder rate. To prevent renewal, you must cancel at least 14 calendar days before your renewal date through the member dashboard or by writing to founders@outboundpass.com.

3.3 Taxes & fees

Prices are stated in USD and exclusive of any applicable sales, value-added, or other transactional taxes. Where required by law, applicable taxes will be added at checkout and itemized on your invoice.

4. The Milestone Roadmap

The Pass includes a roadmap of additional products that unlock as the membership grows past defined thresholds (Tier 2 at 100 Founders, Tier 3 at 250, Tier 4 at 500, etc.). When a milestone is reached, we commit to shipping the corresponding product within the published timeframe (currently 60 days for Tiers 2–4, 90 days for Tiers 5–7), and the product becomes available to all active Founders at no additional cost.

Milestone commitments are contingent on the thresholds being reached. If a threshold is not reached, the corresponding product is not delivered, and members retain access to all previously delivered products without further obligation. Published delivery ETAs are targets, not contractual delivery dates.

4.1 Voting on Tiers 5–7

Tiers 5, 6, and 7 are voted on by the Founders' cohort. The voting mechanism, eligible products, and cadence will be published in the member dashboard before the relevant milestone is reached. Outbound reserves the right to reject vote outcomes that are infeasible to build, would violate applicable law, or that conflict with existing partnerships or obligations.

5. The Founder Affiliate Tier

Every Founder is automatically enrolled in the Founder Affiliate Tier, which provides commissions on referred sales according to the rate card published on the affiliate section of the landing page. Commissions are compensation for marketing services rendered.

  • Founders' Pass referral: 25% one-time = $500 per Founder you refer.
  • ColdRelay / Handshake / individual product sale: 30% recurring for the lifetime of the customer.
  • Second-tier override: 10% recurring on referrals made by Founders you recruited.

5.1 Attribution & payout

Attribution is via tracked link with a 60-day cookie window. Payouts are issued monthly via PayPal, Wise, or bank transfer once the $100 minimum threshold is reached. Refunds, chargebacks, and confirmed cases of fraud or self-referral will reverse the corresponding commission.

5.2 No income guarantee

Earnings examples and the on-page calculator are illustrative. Actual earnings depend on referral volume, customer retention, product mix, and other factors. Statements such as "Top Founders earn $50,000+/year" reflect the upper range of historical referrer outcomes, not typical results. No specific income outcome is promised or guaranteed.

6. Refunds

The full refund policy is at /refund. In summary:

  • 14 days from join: full, no-questions refund.
  • After 14 days: refunds are issued at our discretion, on a case-by-case basis.
  • Renewal: cancel at least 14 days before your renewal date to prevent the next charge.

7. Acceptable use

You agree not to use the products to: send unsolicited bulk email in violation of applicable anti-spam laws (including but not limited to CAN-SPAM, GDPR, CASL); harvest or scrape data in violation of platform terms or law; impersonate other people or organizations; transmit malware or conduct phishing; or otherwise violate any applicable law in your jurisdiction or your recipients'.

Each product in the Pass also has its own acceptable-use policy that applies in addition to these Terms. You are solely responsible for ensuring your campaigns and use of the products comply with all applicable laws.

8. Suspension & termination

We may suspend or terminate your membership for: non-payment; violation of acceptable-use terms; chargeback or payment dispute; fraud or impersonation; conduct that materially harms other members or our reputation; or as required by law. We will, where reasonably possible, give notice and an opportunity to cure before termination, except where the violation is severe.

You may terminate at any time through the member dashboard or by writing to founders@outboundpass.com. Termination ends recurring billing as of the next renewal date; refund eligibility is governed by Section 6 and the refund policy.

9. Intellectual property

All products, software, brand assets, content, and documentation provided through the Pass are the intellectual property of Outbound or its licensors. Your membership grants you a limited, non-exclusive, non-transferable license to use the products for your own internal business purposes during the term of your membership. You may not reverse-engineer, redistribute, white-label, or sublicense the products without a separate written agreement.

10. Privacy & data

Our handling of personal data is governed by the Privacy Policy. By using the Pass, you acknowledge that your use of certain products will involve data processing by named sub-processors. A current list of sub-processors is maintained in the Privacy Policy.

11. Disclaimers & liability

The Pass and the underlying products are provided "as is" and "as available". To the maximum extent permitted by applicable law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, and we do not guarantee that any product will deliver any specific business outcome.

To the maximum extent permitted by applicable law, our aggregate liability arising out of or related to the Pass shall not exceed the fees paid by you in the 12 months preceding the event giving rise to the claim. Neither party shall be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to active members via email and reflected in the dated "last updated" notice at the top of this page. Continued enrollment after notice of a material change constitutes acceptance. If you do not agree with a material change, your remedy is to cancel and seek a refund (subject to Section 6).
